RATIONALE Gift Card program Terms and Conditions

1. Introduction

1.1 These terms and conditions (as may be amended or modified) ("Terms") constitute a legally binding agreement between you, whether acting personally or on behalf of an entity ("you") and RATIONALE HK Trading Limited ("RATIONALE", "we", "us" or "our") regarding the issue, purchase, use and other activities, transactions and dealings involving RATIONALE Gift Cards. You are deemed to have accepted and agreed to be bound by all of these Terms once you purchase, use, or carry out any activity or transaction or make any dealing involving a RATIONALE Gift Card.

1.2 RATIONALE reserves the right, in its absolute and sole discretion to make amendments or modifications to these Terms at any time and for whatever reason(s). Supplemental terms or documents that may be posted on the Website (as defined below) from time to time are hereby expressly incorporated herein by reference.

1.3 A RATIONALE Gift Card purchased on this site is in digital form (referred to in this set of Terms as "eGift Card")

2. Purchases of RATIONALE eGift Cards

2.1 Currently, eGift Cards are only available for purchase online at hk.rationale.com ("Website"). Your order for purchase is regarded as an irrevocable offer to purchase the eGift cards. Before proceeding to purchase, please provide correct information and check the order details.

2.2 An eGift card may be paid for with a valid VISA, MasterCard or American Express credit card. All orders placed by you on the Website are subject to the acceptance of RATIONALE and may be accepted in whole or in part or declined at the absolute and sole discretion of RATIONALE . All eGift Cards will only be delivered after RATIONALE has received the confirmation from the issuer of your payment card that your payment to RATIONALE has been authorized. RATIONALE reserves the overriding right to cancel or delay your eGift Card order (either in whole or in part) at any time before receiving the confirmation from the issuer of your payment card.

2.3 An eGift Card:

(a) is denominated in Hong Kong dollars, and may be purchased at prescribed values set by RATIONALE, with a maximum value of HKD$6,000 per eGift Card (or any other maximum value that RATIONALE may prescribe in its absolute and sole discretion);

(b) may be used multiple times until its stored value is exhausted;

(c) may be combined with other modes of payments accepted by RATIONALE; and

(d) may be combined with up to four other eGift Card(s) in the same transaction.

3. Redemption of eGift Cards

3.1 Redemption of eGift Cards is only applicable in Hong Kong and for the purchase of eligible products online at hk.rationale.com. It cannot be used at any retail stores of RATIONALE or redeemed in any other places outside Hong Kong.

3.2 The eGift Cards are not redeemable via any of our affiliated medical clinics or agencies.

3.3 The eGift Cards are not reloadable and cannot be used to purchase any other gift cards issued by RATIONALE or any third parties.

3.4 If the value of your purchase exceeds the remaining value of the eGift Card, any outstanding purchase balance must be paid by way of a different payment method which is acceptable to RATIONALE.

4. View your balance

4.1 RATIONALE can provide you with information about the redemption status of your eGift Cards upon request, or you can check the balance of your eGift Cards online by entering in your gift card details at hk.rationale.com/customer-care/gift-card-balance.

4.2 The balance of your eGift Cards shown on your user account is an estimate only and is subject to changes as there may be delay in updating the balance thereof.

5. Gifting of eGift Cards

5.1 When you purchase an eGift Card for the purposes of gifting it to a recipient ("Recipient"), the Recipient will receive an email confirmation containing the eGift Card details. We assume no responsibility for any non-delivery to or non-receipt of eGift Cards by the Recipient due to your failure to enter or provide an accurate and valid email address of the Recipient and/or any other reasons not within the control of RATIONALE including, without limitation, those relating to the Recipient's email system, internet access or network connectivity.

5.2 The following is a non-exclusive list of the most common reasons why the Recipient has not received the email confirmation within a reasonable period after the gifting has been initiated:

(a) Spam filter blocked email or routed it to a bulk/spam folder;

(b) Recipient's firewall blocked the email;

(c) Email inbox has exceeded its size limit; or

(d) Invalid email address.

If a spam filter is blocking our emails from getting to the Recipient’s inbox, the email options/settings of the Recipient may need to be modified so that our emails are not considered spam.

5.3 If the Recipient has not yet received an email confirmation within 12 hours after you have initiated the purchase of the eGift Card for the purposes of gifting it to a Recipient, or if you need further assistance, please contact consultant@rationale.com. We may request you to provide your eGift Card number, your email address or such other information as may be required by us to enable us to verify your identity, your eGift Card purchase, and your account ownership.

6. Transferability

6.1 Any unused balance will be stored in the user's eGift Card account. It cannot be transferred to other users.

6.2 While you are permitted to give an eGift Card as a gift, an eGift Card may not be resold by you or the Recipient or any other person for money or money's worth. RATIONALE reserves the right, without prior notice to any person, to void any eGift Cards without any refund or compensation if they are resold for money or money's worth.

7. Validity

7.1 An eGift Card expires 36 months from the date of its issue unless otherwise stated. Any balance remaining after this time will not be available for use, and no extension or refund or credit of the unutilised balance will be granted.

7.2 An eGift Card expires automatically once its balance has been exhausted.

8. Refunds

8.1 The eGift Cards cannot be redeemed for cash and/or returned for a cash refund.

9. Termination

9.1 RATIONALE may at its absolute and sole discretion, without prior notice to you or the Recipient or any other person, suspend or terminate all or any part of the RATIONALE Gift Card program for any reason whatsoever as RATIONALE may deem fit.

10. Rights of RATIONALE

10.1 RATIONALE retains the right in its absolute and sole discretion, without notice to any person, to invalidate any eGift Card without any refund or compensation, suspend or terminate any user accounts, cancel or Iimit any orders, and request alternative forms of payment if RATIONALE suspects that an eGift Card is obtained, used, or applied to any user accounts fraudulently, unlawfully, or otherwise in violation of these Terms .

10.2 RATIONALE shall be entitled to correct the balance on any eGift Card to rectify any accounting or processing error.

10.3 RATIONALE reserves the right at any time and at its sole discretion, to limit, add, amend, replace or delete in whole or part any of these Terms. The amendment shall be binding on the eGift Card purchaser and/or user upon publication of the amended version on hk.rationale.com. In case of any inconsistency between the online and printed versions of the Terms, the online version shall prevail. In any event, if you continue to use the eGift Cards after such amendment, you shall be deemed to have accepted the amendments.

10.4 RATIONALE makes no representation or warranty that the use or processing of the eGift Card will be error-free or prompt.

11. Risk of Loss

11.1 The title and the risk of loss of eGift Cards will pass to you upon our electronic transmission of the eGift Card details to you or the Recipient. RATIONALE is not responsible if any eGift Card is lost, stolen or destroyed, or if any eGift Card is used without your or the Recipient's permission. Any such lost or stolen or destroyed eGift Cards shall not be replaced or refunded. Please avoid displaying or disclosing the eGift Card number and PIN online or to any third party.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, subject to applicable consumer protection provisions, RATIONALE shall not be liable for claims or damages of any kind arising out of or in connection with your purchase of the eGift Card and/or the use of the eGift Card by you or the Recipient including damages arising out of changes to or termination of the RATIONALE Gift Card program or as a result of the purchaser or user redeeming and/or using the eGift Card. This applies to all damages of any kind, including but not limited to direct, indirect, incidental, punitive or consequential loss or damage, including any loss of income, business, goodwill or profits, or loss of data or loss of or damage to property and claims of third parties. RATIONALE's liability for any claim arising from or in relation to any eGift Card(s) shall in any event be limited to the last stored balance(s) on such eGift Card(s).

13. Miscellaneous

13.1 The eGift Cards and their use are subject to the RATIONALE general terms and conditions. RATIONALE reserves the right to change the RATIONALE general terms and conditions from time to time at its absolute and sole discretion.

13.2. Any terms and conditions contained in these Terms, the RATIONALE general terms and conditions and other terms and conditions as may be agreed to or accepted by you that is invalid, unenforceable or illegal shall be enforced as nearly as possible in accordance with its terms, but shall otherwise be deemed severed and shall not affect the enforceability of any other clauses, which clauses shall continue to be valid and enforceable to the fullest extent permitted by law.

13.3 RATIONALE shall not be liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, reasons or circumstances beyond its reasonable control. Such force majeure events include, without limitation, acts of God, strikes or other industrial action, fire, flood, storm, riots, power shortages or failures, system failures, and other acts or omissions of third parties.

14. Client Service

14.1 If you need assistance with any aspect of the eGift Cards, including but not limited to purchases, ownership or use of the eGift Cards, please contact consultant@rationale.com. Please be ready to supply your eGift Card number. We may request you to provide your eGift Card number, your email address or such other information as may be required by us to enable us to verify your identity, your eGift Card purchase and your account ownership.

15. Applicable Law

15.1 These Terms are governed by and construed in accordance with the laws of Hong Kong, without regard to principles of conflicts of law.
